1. Acceptance of Terms

By accessing or using services provided by DevStudio Agency ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

DevStudio Agency provides digital marketing services including but not limited to:

• Google Business Profile setup, optimization, and management
• Website design and development services
• Digital marketing consultation
• Related technical support and maintenance

All services are provided remotely to clients primarily in Harare, Zimbabwe and surrounding areas.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for service delivery
• Grant necessary access to Google Business Profile and related accounts
• Respond to requests for information or approvals in a timely manner
• Provide required content (text, images, logos) as specified
• Maintain ownership and access to your domain and hosting accounts

4. Payment Terms

4.1 Service Fees

All prices are quoted in United States Dollars (USD). Payments may be made in Zimbabwean Dollars (ZWL) at the prevailing exchange rate on the date of payment.

4.2 Payment Structure

• 50% deposit required before work begins
• 50% balance due upon completion of services
• Monthly services billed in advance

4.3 Payment Methods

We accept:

• EcoCash
• Bank transfers (Zimbabwean banks)
• Cash (ZWL equivalent)

5. Intellectual Property

5.1 Client Materials

You retain ownership of all content, logos, images, and other materials you provide to us.

5.2 Deliverables

Upon full payment, you receive ownership of the final delivered website design files and optimized Google Business Profile. We retain the right to display completed work in our portfolio.

5.3 Third-Party Materials

Any third-party materials (fonts, stock images, plugins) remain subject to their respective licenses.

6. Service Limitations

6.1 Google Business Profile Services

While we optimize for better visibility, we do not guarantee specific search rankings, number of calls, or business outcomes. Google's algorithms change frequently and are outside our control.

6.2 Website Services

We include 3 months of free hosting with website packages. After this period, clients are responsible for hosting fees with WebZim or their chosen provider.

6.3 Response Times

We aim to respond to support requests within 1 business day during working hours (Monday-Friday, 8AM-5PM).

7. Termination

7.1 By Client

You may terminate monthly services with 30 days written notice. One-time service deposits are non-refundable once work has begun.

7.2 By DevStudio Agency

We may terminate services if:

• Payments are not received within 14 days of due date
• Client violates these terms
• Client provides false information
• Client engages in illegal or unethical activities

8. Limitation of Liability

DevStudio Agency shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Downtime or service interruptions from third-party providers (Google, hosting companies, etc.)
• Changes in search engine algorithms affecting rankings
• Client errors in providing information or access

Our maximum liability is limited to the amount paid for the specific service in question.

9. Indemnification

You agree to indemnify and hold harmless DevStudio Agency from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Content you provide that infringes on third-party rights
• Your business practices or customer interactions

10. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms. We will notify clients of significant changes via email.

11. Governing Law

These terms are governed by the laws of Zimbabwe. Any disputes shall be resolved through mediation in Harare before pursuing legal action.
